Form 8832 Timing: Can You Make a Retroactive Entity Classification Election?

One of the most useful features of Form 8832 is the ability to make a retroactive election. You can set the effective date up to 75 days before the filing date. This gives you flexibility to align your tax classification with your business needs.

The 75-day rule

When you file Form 8832, the effective date of the election can be:

  • Up to 75 days BEFORE the date the election is filed
  • Up to 12 months AFTER the date the election is filed

Why retroactive elections matter

Scenario: You formed your LLC on January 1 but didn't realize you needed corporate treatment until March. If you file Form 8832 on March 15 with an effective date of January 1, you're within the 75-day window and your LLC is treated as a corporation from day one.

This avoids the messy situation of being a disregarded entity for part of the year and a corporation for the rest.

Late election relief

What if you missed the 75-day window? The IRS provides relief under Revenue Procedure 2009-41 if:

  • The entity intended to classify itself from a specific date
  • The entity has reasonable cause for failing to file on time
  • Less than 3 years and 75 days have passed since the intended effective date
  • The entity has been treated as the elected classification since the intended date

To request relief, write "FILED PURSUANT TO REV. PROC. 2009-41" at the top of Form 8832.

Practical timing guide

Best approach: File Form 8832 within 75 days of your LLC formation, with the effective date being your formation date. This ensures clean tax classification from the start.

If you're past 75 days: Consult your CPA about late election relief. It's available in most cases where you acted in good faith.

If you want future classification: You can file Form 8832 now with an effective date up to 12 months in the future. This is rare but useful in specific tax planning situations.
