Form 1065 is the annual information return for partnerships and multi-member LLCs that haven't elected corporate treatment. Unlike Form 1120, Form 1065 itself doesn't calculate any tax — partnerships are pass-through entities.

Key concept: Pass-through taxation
A partnership doesn't pay income tax itself. Instead, it "passes through" income, deductions, and credits to each partner. Each partner reports their share on their individual tax return. Form 1065 is the vehicle that calculates each partner's share.
Important sections
Page 1 — Income. Gross receipts, cost of goods sold, gross profit, and other income. This looks similar to Form 1120.
Page 1 — Deductions. Salaries and wages, guaranteed payments to partners, rent, taxes, interest, depreciation, and other deductions.
Schedule K — Partners' Distributive Share Items. This is the summary of everything that gets passed through to partners: ordinary income, rental income, interest, dividends, capital gains, Section 179 deductions, charitable contributions, and more.
Schedule K-1 — Per Partner. One Schedule K-1 is prepared for each partner, showing their specific share of each item on Schedule K.
Guaranteed payments
If partners receive guaranteed payments (similar to a salary but for partners), these are reported on Form 1065 as both income to the partner and a deduction for the partnership.
Deadlines
Form 1065 is due on the 15th day of the 3rd month after the tax year ends. For calendar-year partnerships, that's March 15. Earlier than Form 1120!
File Form 7004 for an automatic 6-month extension to September 15.
Penalties
The penalty for late filing of Form 1065 is $235 per partner per month, for up to 12 months. A 3-partner LLC that's 6 months late faces a $4,230 penalty.
